MandarinRise Terms of Use and End User License Agreement

These Terms of Use and End User License Agreement govern your use of MandarinRise. By downloading, installing, accessing, or using the app, website, or related services (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

Parties and Apple Acknowledgement

  • This agreement is between you and MandarinRise only, not Apple.
  • MandarinRise, not Apple, is responsible for the Licensed Application and its content.
  • Your use must also follow applicable Apple Media Services and usage rules.

Scope of License

  • We grant you a limited, revocable, non-exclusive, non-transferable license to use MandarinRise for personal, non-commercial learning.
  • You may use the app on Apple-branded products you own or control, as permitted by Apple usage rules, including Family Sharing where applicable.
  • You may not copy, sell, sublicense, reverse engineer, scrape, automate abuse, or exploit the Service except where law permits.

Eligibility and Account

  • You must comply with applicable laws and platform requirements.
  • You are responsible for account/device security and activity under your account.
  • We may suspend, limit, or terminate access for abuse, fraud, violations, legal risk, security risk, or operational needs.

Subscriptions, Billing, Renewal, and Refunds

  • Paid features are offered through subscriptions (including Super features).
  • Billing and auto-renewal are handled by Apple through your App Store account.
  • Subscriptions renew automatically unless canceled before renewal.
  • You can cancel anytime in App Store subscription settings to prevent future renewals.
  • No refund policy: to the maximum extent permitted by law, all payments are final.
  • We do not provide refunds, credits, or prorated reimbursements once payment is processed.
  • No refund is provided after access to or use of Super features.
  • We provide meaningful free functionality so users can evaluate the app before subscribing.
  • Any exception is only where required by applicable law or Apple policy.

Free and Paid Access

  • Free and paid tiers have different features and limits.
  • We may add, remove, or modify features at any time.
  • Entitlements may be determined by platform and/or server validation.

Maintenance and Support

  • MandarinRise is solely responsible for maintenance and support of the Licensed Application, if any.
  • Apple has no obligation to provide maintenance or support for the Licensed Application.

Warranty

  • The Service is provided as is and as available, to the maximum extent permitted by law.
  • MandarinRise is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed.
  • If the Licensed Application fails to conform to an applicable warranty, you may notify Apple and Apple may refund the purchase price paid for the application.
  • To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Licensed Application.
  • Any other claims, losses, liabilities, damages, costs, or expenses attributable to warranty failure are MandarinRise responsibility, not Apple responsibility.

Product Claims

  • MandarinRise, not Apple, is responsible for addressing claims related to the Licensed Application or your possession/use of it.
  • This includes product liability claims, legal/regulatory compliance claims, and consumer protection/privacy or similar claims.

Intellectual Property Claims

  • If a third party claims the Licensed Application or your use infringes intellectual property rights, MandarinRise, not Apple, is responsible for handling that claim.

Legal Compliance and Export

  • You represent that you are not located in a country/region subject to U.S. embargo and are not on a prohibited/restricted party list.
  • You agree to comply with applicable export, sanctions, and trade laws.

Third-Party Terms

  • You must comply with applicable third-party terms while using the Licensed Application.
  • Example: your wireless/data service agreement when relevant.

User Content and Social Features

  • If you submit feedback, reports, room notes, nicknames, or other content, you grant MandarinRise a worldwide, royalty-free, perpetual, irrevocable, sublicensable right to use and commercialize that content for operating, improving, protecting, and promoting the Service.
  • Study rooms and shared content are provided as is.
  • We may moderate, restrict, edit, remove, or disable rooms, members, packs, notes, or related content at any time, with or without notice.

Availability and Changes

  • We may change, suspend, or discontinue any part of the Service at any time, with or without notice.
  • We do not guarantee uninterrupted availability, error-free operation, or continued support for all features, devices, regions, or versions.

Disclaimer and Liability

  • To the maximum extent permitted by law, MandarinRise disclaims warranties including merchantability, fitness for a particular purpose, non-infringement, and accuracy.
  • MandarinRise does not guarantee specific learning outcomes.
  • To the maximum extent permitted by law, MandarinRise and its affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, data, goodwill, or business opportunity.
  • Total liability is limited to the amount you paid to MandarinRise in the 12 months before the claim event, or USD 50 if greater limitation is required by law.

Indemnification

  • You agree to defend, indemnify, and hold harmless MandarinRise and its affiliates from claims, liabilities, damages, losses, and expenses arising from your use of the Service, your submissions, or your breach of these Terms.

Termination

  • We may terminate or suspend access immediately, with or without notice, for any reason.
  • Upon termination, your right to use the Service ends immediately.
  • Provisions that should survive by nature survive, including ownership, disclaimers, limitations, indemnity, disputes, and payment obligations.

Governing Law and Disputes

  • These Terms are governed by applicable law in the jurisdiction designated by MandarinRise legal notices, without regard to conflict-of-law rules.
  • Disputes may be resolved in courts selected by MandarinRise unless mandatory law requires otherwise.

Changes to These Terms

  • We may modify these Terms at any time, with or without notice.
  • The current version is available through app settings and on our website.
  • We do not guarantee advance, individual, or specific notice of updates.
  • Continuing to use the Service means you accept updated Terms.

Contact

Apple Third-Party Beneficiary

  • You and MandarinRise acknowledge that Apple and Apple subsidiaries are third-party beneficiaries of these Terms as they apply to the Licensed Application.
  • Upon your acceptance of these Terms, Apple has the right to enforce these Terms against you as a third-party beneficiary.
